Amerady
Terms of Use
Last updated: November 3, 2026
These Terms explain how purchasing Amerady’s services works: what the service includes and what it does not, how payment, withdrawal and refunds work, and what each party is responsible for. Please read them carefully before you buy. If you have any questions, write to contato@amerady.com before you pay.
1. Who we are
Amerady (amerady.com) is a service operated by 36.941.976 BRUNO DANIEL PETROPOULEAS, Brazilian taxpayer ID (CNPJ) 36.941.976/0001-06 (sole proprietorship), located at Centro, Campinas/SP, Brazil (ZIP 13010-151).
In these Terms, “Amerady” means this service provider and “you” means the person who purchases the service.
Contact: contato@amerady.com.
2. Who may purchase and how you accept these Terms
The services are intended for individuals aged 18 or older, with full legal capacity, who will use the LLC for lawful activities.
By checking the acceptance box and completing payment, you confirm that you have read and agree to these Terms and to the Privacy Policy. Amerady keeps a record of the date and time of your acceptance.
The contract between you and Amerady consists of these Terms, the plan description shown on the website at the time of purchase and your order summary.
3. How the service works
The service follows this order:
- You choose the plan and the state (Wyoming, Delaware or Florida), accept these Terms and make the payment.
- Once payment is confirmed, you fill in the intake form with your information, your documents and the name options for the LLC.
- You review and confirm the information. Only after this confirmation does Amerady submit the filing, that is, send the LLC formation request to the state.
- Once the LLC is formed, Amerady applies for the EIN with the IRS, prepares the Operating Agreement and delivers the other items in your plan.
4. What every plan includes
Every plan includes:
- formation of the LLC in the chosen state, carried out through a partner company in the United States;
- the EIN (the company’s U.S. tax identification number, similar to a Brazilian CNPJ), obtained from the IRS, the U.S. federal tax authority, with Amerady acting as Third Party Designee;
- the Operating Agreement, the document that sets out the LLC’s internal rules;
- a registered agent for the first year, that is, the U.S. company that receives official mail on behalf of the LLC, engaged through a partner company.
5. Items that depend on the plan
Each plan may include additional items. What applies to your order is what the plan description stated at the time of purchase.
For guidance items, Amerady explains the process and helps you prepare, but you submit the application yourself, and the institution decides whether to approve it.
Depending on the plan, the following may be included:
- support with your application to open a U.S. bank account;
- preparation of Form W-8BEN, which tells those who pay you in the United States that you are a foreign person for tax purposes (you sign and deliver it);
- a contract template;
- guidance on setting up payment platforms to receive payments;
- 60 days of WhatsApp support.
6. Amerady Total and Amerady Compliance
Amerady Total also includes first-year compliance: filing Form 5472 with the IRS for the LLC’s first tax year, handled by a partner accountant in the United States, and applying for an ITIN (U.S. individual taxpayer identification number) when one is needed. Issuance of the ITIN depends on review and approval by the IRS.
Amerady Compliance is an annual service, purchased separately, to help with the LLC’s annual obligations. Its scope and price are those stated in the proposal sent to you.
In both cases, filings can only be made on time if you send the requested information and documents, accurate and complete, by the deadline Amerady gives you. Neither Amerady nor the partner accountant is responsible for delays, penalties or interest caused by information that is late, incomplete or incorrect.
7. What Amerady does not do or guarantee
Amerady is not a law firm or an accounting firm and does not provide legal, tax, accounting or immigration advice. The information Amerady provides is general and is meant to help you understand the process. For decisions about taxes, contracts or immigration, consult a licensed attorney or accountant.
Documents prepared by Amerady, such as the Operating Agreement and the contract template, are standard templates filled in with the information you provide. They are not legal opinions or documents tailored by an attorney.
Forming an LLC does not entitle you to a visa, residency, work authorization or any immigration status in the United States.
Amerady does not guarantee:
- approval of an account with banks or payment platforms, which decide based on their own criteria;
- any tax outcome, such as paying less tax in Brazil or in the United States;
- state or IRS processing times;
- that the state will accept your first choice of name, which is why you provide more than one;
- approval of applications that depend on government agencies, such as the ITIN.
8. You are the sole owner of the LLC
The LLC is formed with you as its sole member and owner. The plans are designed for single-member LLCs. If you intend to have partners, talk to Amerady before purchasing.
You are also the LLC’s responsible party before the IRS. Amerady never appears as owner, member or nominee of your LLC.
To obtain the EIN, you sign the IRS form (Form SS-4) and authorize Amerady to act as Third Party Designee. This authorization is limited to obtaining the EIN and ends when the number is issued.
In the formation documents, the partner company may appear as organizer or as registered agent. This gives it no rights over the LLC.
9. Price and payment
Prices are displayed in U.S. dollars (US$) and vary according to the plan and state you choose.
You are charged in Brazilian reais (R$) through InfinitePay, by Pix (Brazil’s instant payment system) or by credit card in up to 12 installments. The amount in reais is calculated at a fixed exchange rate shown before payment. Once you pay, that amount does not change because of the exchange rate, even if the dollar rises or falls.
Card payments in installments may carry an additional installment charge. Any such charge is shown at checkout before you confirm payment.
Your card details are processed by InfinitePay. Amerady never has access to your full card number.
The service starts after payment is confirmed.
10. Timelines
Timelines provided by Amerady are estimates based on the usual processing times of the state, the IRS and partners. These agencies and companies have their own timelines, which Amerady does not control.
The count starts when you confirm the intake form with all information and documents. If anything is missing, the process is on hold until you send it.
Amerady undertakes to complete each step that depends on it without undue delay and to keep you informed of your order’s progress.
11. Your responsibilities
For the service to work, you agree to:
- provide true, complete and up-to-date information, and review everything before confirming the intake form;
- send valid and legible documents;
- respond to requests from Amerady and its partners within the deadlines given;
- let Amerady know if any of your information changes while the service is in progress;
- use the LLC only for lawful activities;
- check that the chosen name does not infringe the trademarks of other people or companies, since the state’s acceptance of a name does not grant trademark rights;
- comply with the LLC’s obligations after delivery, as explained in section 12.
12. Tax and annual obligations in Brazil and in the United States
Owning an LLC creates obligations in Brazil and in the United States. These obligations are yours, unless you purchase a plan that includes a specific filing. Even then, you remain responsible for providing accurate information on time.
In Brazil: if you live in Brazil, you remain subject to Brazilian tax rules. Law No. 14,754/2023 governs the taxation of individuals resident in Brazil who hold companies and investments abroad, and your interest in the LLC must be reported to the Brazilian Federal Revenue Service (Receita Federal), for example in your annual income tax return. Amerady recommends that you have an accountant in Brazil.
In the United States: as a rule, a foreign-owned LLC must file Form 5472 with the IRS every year. The penalty for not filing starts at US$25,000. The state may also require an annual report and fee, and the registered agent must be renewed from the second year onward. These costs are not included in the price unless your plan says otherwise.
If these obligations are not met, the LLC may be fined and may even be dissolved by the state.
13. Right of withdrawal within 7 days
Because the purchase is made online, you may withdraw within 7 days from the date of purchase (the day payment is confirmed), under article 49 of the Brazilian Consumer Protection Code (Código de Defesa do Consumidor).
The LLC filing is only submitted after you confirm your information in the intake form. By confirming your information, you expressly authorize Amerady to submit the filing. If you confirm before the 7-day period ends, you are asking for the service to start within that period. If you prefer, you can wait until the period ends before confirming.
When submitting the filing, Amerady pays third parties, on your behalf, the state fee and the registered agent. From that point on, the LLC legally exists in your name and these amounts can no longer be recovered. The refund rules for each situation are in section 14.
14. Cancellation and refunds
In this section, “Amerady’s service fee” means the amount you paid minus the government fees and third-party costs of your order.
If you withdraw or cancel after the filing, the LLC remains registered in your name. Closing the LLC requires a separate filing with the state (dissolution), which is not included in the service.
Refunds work as follows:
- Before the filing: Amerady refunds the full amount you paid.
- After the filing, submitted at your request: the state fee and other third-party costs already paid, such as the registered agent, are non-refundable. Amerady’s service fee is handled as required by law: if you are within the 7-day period, it is refunded in full; after that period, cancellation follows the general rules of the law, taking into account the stages of the service already performed.
- Whenever third-party costs are deducted, Amerady informs you of each amount deducted, with supporting proof. Amounts in dollars are converted into reais at the same exchange rate used for your order.
15. How to request withdrawal or a refund
Send an e-mail to contato@amerady.com, or a message through the support WhatsApp, with your order code. You do not need to give a reason. Amerady immediately confirms receipt of your request.
Refunds are made through the original payment method: for Pix, by a transfer back to the originating account; for cards, by a reversal requested from InfinitePay, which appears on your statement according to your card issuer’s timeline. If a reversal is not possible, the refund is made by Pix or bank transfer to an account in your name. When you withdraw within the 7-day period, the refund is made immediately, as required by law.
If something goes wrong, please talk to Amerady first: resolving it through support is usually faster than filing a card dispute (chargeback). If there is a dispute, Amerady may submit records of the service provided to InfinitePay and to the card issuer.
16. Delivery guarantee
If Amerady, or a partner performing the service on its behalf, makes an error in the LLC filing or in documents prepared by Amerady, it will be corrected at no cost to you.
Corrections not covered by the guarantee may have a cost, such as the fee the state charges to amend a filing. In that case, you will be told the amount in advance.
The guarantee does not cover:
- errors in information you provided or confirmed in the intake form;
- new requirements created by the government;
- state and IRS processing times;
- decisions by banks and payment platforms.
17. Amerady’s liability
Amerady is liable for the services it provides, as set out in the law. Nothing in these Terms limits the rights granted to you by the Brazilian Consumer Protection Code.
Amerady is not liable for:
- decisions, requirements and timelines of government agencies, such as the state and the IRS, or of banks and payment platforms;
- consequences of incorrect, incomplete or outdated information you provide;
- how you use the LLC and its activities;
- tax and annual obligations not included in your plan, or penalties for failing to meet them;
- delays caused by acts of God or force majeure, such as government system outages.
18. Refusal or suspension of service
Amerady may refuse an order or stop providing the service if it identifies signs of fraud, false information, illegal activity or use of the LLC to conceal assets or funds, or if you are subject to international sanctions.
Some activities, such as gambling, crypto assets, adult content, weapons or controlled products, may be refused by partners, banks or payment platforms.
If the refusal happens before the filing, Amerady refunds the full amount paid. If it happens afterwards, the rules in section 14 apply.
19. Support and communications
Support is provided by e-mail at contato@amerady.com and by WhatsApp. The extended 60-day WhatsApp support applies to the plans that include it. Amerady responds to requests within 5 days.
Notices about your order are sent to the e-mail address and WhatsApp number you provided. Please keep them up to date.
20. Intellectual property
The Amerady brand, the website and its content belong to Amerady and may not be copied without permission.
Your LLC’s documents are yours. Templates provided by Amerady, such as the contract template, may be used in your business but may not be resold or distributed to third parties.
21. Personal data
How your personal data is processed is explained in Amerady’s Privacy Policy, which forms part of these Terms.
Information sent to the state in the LLC filing becomes public, as explained in the Privacy Policy.
22. Changes to these Terms
Amerady may update these Terms. The version that applies to your order is the one published when you made your purchase. The date of the last update appears at the top of this document.
23. Governing law and jurisdiction
These Terms are governed by the laws of Brazil. The rules governing the LLC itself follow the laws of the state where it was formed and U.S. federal law.
If you are a consumer, you may bring a claim before the courts of your place of residence, as provided by the Brazilian Consumer Protection Code. In all other cases, the courts of Campinas/SP, Brazil, will have jurisdiction.
24. General provisions
If any part of these Terms is held invalid, the rest remains in effect.
If Amerady does not enforce a right at a given time, this does not mean it has waived that right.
